Terms of Service

These Terms are intended as practical startup boilerplate for RouteIQ. They should be reviewed by qualified counsel before broad commercial launch.

These Terms of Service ("Terms") govern access to and use of RouteIQ, a warehouse-routing and fulfillment decision-support service provided by RouteIQ ("RouteIQ," "we," "us," or "our"). By creating an account, accessing the platform, or using the RouteIQ API, you agree to these Terms.

1. The RouteIQ Service

RouteIQ provides tools that help businesses evaluate inventory, warehouse origins, order data, transit information, and configurable routing rules. RouteIQ is a decision-support system. It does not replace a customer's responsibility to validate inventory accuracy, shipping rules, operational constraints, customer commitments, or final fulfillment decisions.

2. Accounts and Authorized Users

You are responsible for maintaining accurate account information, protecting login credentials and API keys, and ensuring that only authorized users access your RouteIQ workspace. You are responsible for activity that occurs through your account or API keys.

3. Customer Data

You may upload or transmit inventory, warehouse, order, SKU, shipment, destination, and related operational data to RouteIQ. You represent that you have the necessary rights and permissions to provide that data to RouteIQ for processing under these Terms.

4. API Use

RouteIQ may provide API keys for sandbox and production use. You agree to keep API keys secure, use them only for authorized integrations, and promptly revoke keys that may be exposed or compromised. RouteIQ may throttle, suspend, or revoke API access to protect the platform, customers, or third-party services.

5. Trials, Subscriptions, and Billing

RouteIQ may offer trial access, paid subscriptions, or custom commercial arrangements. Paid features may require an active subscription and valid payment method. Billing may be processed through a third-party payment provider such as Stripe. Fees, plan limits, and included usage may be shown in the application, order form, or other written agreement.

6. Routing Results and Operational Decisions

RouteIQ routing results depend on the accuracy and completeness of customer-provided data, configured business rules, available inventory, warehouse setup, and third-party data sources. RouteIQ does not guarantee that any route, warehouse selection, split decision, transit estimate, or export result will be error-free, least-cost, fastest, or suitable for every operational circumstance.

RouteIQ may rely on third-party services for hosting, payments, transit data, analytics, email, or other platform functionality. RouteIQ is not responsible for third-party outages, data inaccuracies, or service changes outside our control.

9. Confidentiality

Each party may receive non-public business, technical, operational, or commercial information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to providing or using RouteIQ.

10. Service Availability and Changes

We aim to provide a reliable service, but RouteIQ may be unavailable from time to time due to maintenance, updates, outages, or circumstances outside our control. We may update, modify, suspend, or discontinue parts of the service as the product evolves.

You may stop using RouteIQ at any time. We may suspend or terminate access if you violate these Terms, fail to pay required fees, create risk for the platform or other customers, or use the service in a way that may cause harm.

12. Disclaimers

RouteIQ is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

13. Limitation of Liability

To the fullest extent permitted by law, RouteIQ will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, operational disruption, shipping costs, or business losses arising from use of the service.

14. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users through the application or other appropriate means. Continued use of RouteIQ after changes become effective means you accept the updated Terms.
